1. Definitions
In these Terms and Conditions:
- "Firm," "we," "us," or "our" refers to Iron Petal, a legal practice located at 120/7 Silom Road, Bangkok, Thailand
- "Client," "you," or "your" refers to any individual or entity engaging our legal services
- "Services" refers to legal advisory, representation, and related professional services provided by the Firm
- "Engagement" refers to the contractual relationship between the Firm and Client for provision of legal services
- "Website" refers to iironpeetes.top and all associated web pages
2. Acceptance of Terms
By accessing our website, submitting an inquiry, or engaging our legal services, you agree to be bound by these Terms and Conditions. These terms constitute a legally binding agreement between you and Iron Petal.
If you do not agree to these terms, please do not use our website or engage our services. We reserve the right to modify these terms at any time, with changes becoming effective upon posting to the website. Continued use after modifications constitutes acceptance of updated terms.
3. Formation of Attorney-Client Relationship
An attorney-client relationship is formed only when:
- The Firm has conducted an initial consultation and conflict check
- Both parties have agreed in writing to the scope of services and fee arrangement
- The Client has signed an engagement letter or service agreement
- Any required retainer payment has been received
Submitting an inquiry through our website, sending an email, or having an initial conversation with our staff does not automatically create an attorney-client relationship. No attorney-client relationship exists until all conditions above are satisfied.
Information provided before formation of an attorney-client relationship should not be considered confidential legal communications protected by attorney-client privilege.
4. Scope of Services
The Firm provides legal advisory and representation services in the following areas:
- Business formation and registration in Thailand
- Commercial contract review and drafting
- Dispute resolution advisory and representation
Each engagement is limited to the specific scope defined in the engagement letter. Services outside the agreed scope require a separate agreement and may be subject to additional fees. The Firm reserves the right to decline engagements that fall outside our areas of expertise or present conflicts of interest.
Our services are provided in accordance with professional standards established by the Lawyers Council of Thailand and applicable legal ethics rules.
5. Fees and Payment Terms
Legal fees are calculated based on the complexity and scope of services as specified in the engagement letter. Fee structures may include:
- Fixed fees for defined scope of work
- Hourly rates for certain types of engagements
- Monthly retainer arrangements for ongoing services
Payment terms will be specified in the engagement letter. Unless otherwise agreed, invoices are payable within thirty days of issuance. Late payments may be subject to interest charges as permitted by law. The Firm reserves the right to suspend services or withdraw from representation if invoices remain unpaid beyond agreed terms.
Government filing fees, court costs, translation services, and other third-party expenses are billed separately at actual cost. Clients are responsible for reimbursement of approved disbursements.
All fees are quoted and payable in Thai Baht unless otherwise specified.
6. Client Responsibilities
Clients agree to:
- Provide complete, accurate, and timely information relevant to the engagement
- Respond promptly to requests for information or documentation
- Pay fees and expenses according to agreed terms
- Inform the Firm of any changes affecting the matter or engagement
- Comply with advice and recommendations provided by the Firm
- Maintain confidentiality of attorney work product and legal strategies
- Notify the Firm immediately of any conflicts or adverse developments
Failure to fulfill these responsibilities may affect our ability to provide effective representation and could result in unfavorable outcomes. The Firm is not responsible for consequences resulting from client failure to provide accurate information or follow legal advice.
7. Confidentiality
The Firm maintains strict confidentiality of all client information and communications in accordance with attorney-client privilege and professional ethics obligations under Thai law. Confidential information will not be disclosed to third parties except:
- With client's express written consent
- When required by law, court order, or regulatory authority
- To prevent imminent harm or criminal activity
- To defend against claims or complaints against the Firm
- To trusted service providers under confidentiality agreements
Clients acknowledge that certain communications may not be protected by attorney-client privilege if made in the presence of third parties or if the privilege has been waived.
8. Disclaimers and Limitations
No Guaranteed Outcomes: Legal services are provided on a professional basis with reasonable skill and care. However, the Firm cannot and does not guarantee specific results or outcomes in any legal matter. Success depends on numerous factors beyond our control including facts, evidence, judicial discretion, and opposing parties' actions.

- The Firm is not liable for delays or failures caused by circumstances beyond our reasonable control
These limitations do not affect liability for fraud, intentional misconduct, or matters where limitation is prohibited by applicable law.
10. Termination of Engagement
Either party may terminate the engagement subject to the following conditions:
Client Termination: Clients may terminate the engagement at any time by providing written notice. The client remains responsible for payment of fees for services rendered and expenses incurred up to the termination date.
Firm Termination: The Firm may terminate representation if the client fails to pay fees, does not cooperate, requests conduct contrary to professional ethics, or if conflicts of interest arise. We will provide reasonable notice and take steps to minimize prejudice to the client's interests.
Upon termination, the Firm will return client documents and provide reasonable transition assistance. Client files and work product will be retained according to professional standards and legal requirements.
11. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of Thailand. Any disputes arising from these terms or our services shall be resolved according to the following process:
- Informal negotiation between the parties in good faith
- If negotiation fails, mediation before a mutually agreed mediator
- If mediation is unsuccessful, binding arbitration in Bangkok, Thailand
The parties agree to submit to the jurisdiction of Thai courts for enforcement of arbitration awards or where arbitration is not applicable.
12. General Provisions
Entire Agreement: These terms, together with any engagement letter, constitute the entire agreement between the parties and supersede all prior understandings.
Severability: If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.
No Waiver: Failure to enforce any provision does not constitute a waiver of that provision or any other term.
Assignment: Clients may not assign rights or obligations under these terms without our written consent.
